1. Agreement to These Terms
By visiting this website, sending an enquiry through the contact form or by engaging Integrity GSE LLC for any service, you agree to be bound by these Terms of Service. If you are acting on behalf of a company or another organisation, you confirm that you have authority to accept these terms on that organisation behalf, and the words you and your in these terms will include that organisation.
If you do not agree with any part of these terms, please do not use the website and do not engage the company. No engagement begins until a written engagement document has been signed by both sides, and where an engagement document conflicts with these terms, the engagement document prevails for the work it covers.
These terms apply together with the Privacy Policy published on this website. The Privacy Policy explains how personal information is handled, while these terms explain the commercial and legal framework of the relationship between you and the company.
2. About the Company
Integrity GSE LLC is a limited company registered in the United States. The company designs and maintains apron service desk routines for ground support records, including equipment log bays, service sheet runs, crew note desks, dispatch windows, check review rounds and apron sittings. The company business address is 345 E 1300 N, Mapleton - 84664-3730, United States (US).
The company can be reached by email at admin@integritygse.lol and by telephone at +18399030886 during its published business hours. Any formal notice under these terms should be sent to the postal address above with a copy by email, so that the desk can register the notice the same day.
3. Use of the Website
The website is provided for information about the company and its services, and for the purpose of contacting the desk. You may read the pages, print them for your own reference and share the address with colleagues who are considering an engagement.
You may not copy the content of the website into another publication, present it as your own or use it to train a competing service without written permission from the company. You may not attempt to gain unauthorised access to the website, its hosting environment or any account connected to it. You may not use the contact form to send unsolicited commercial messages, malicious code or content that is unlawful in the place where you or the company is located.
We work to keep the website available and accurate, but we do not promise that it will be free of interruption or error. The website may be unavailable during maintenance, and content may change without notice. Any reliance you place on the website is at your own risk, subject to the disclaimers set out later in these terms.
4. Our Services
The company provides consulting, design and integration services related to apron service desk routines. The services are grouped into the six routines described on the services page of this website, and any engagement will list the routines that are in scope. Work that is not listed in the engagement document is outside the scope and may require a separate agreement.
We deliver services on a project basis and, where agreed, on a seasonal or follow up basis. We do not operate as a common carrier, a warehousing business or an emergency response service. Our work concerns the design, configuration and review of records and the physical desk that supports them. Nothing in these terms makes the company responsible for the safe operation of a vehicle, a lift or any other piece of ground support equipment on a client site.
Where a service includes advice, the advice reflects the information available at the time and the conditions we observed during our visits. Conditions on an apron change, and a routine that worked in one season may need adjustment in another. A follow up review round, as described in the engagement document, is the proper way to adjust a routine after a change.
5. Client Engagements
An engagement begins when both sides sign a written engagement document that describes the scope, the schedule, the deliverables and the fee. A verbal agreement, an email exchange or a visit to the apron does not by itself create an engagement, although we may confirm an intention to engage in writing before the formal document is signed.
Each engagement document may set out additional terms, such as site access rules, safety requirements, delivery milestones and acceptance procedures. Those terms operate alongside these Terms of Service. If an engagement document is silent on a matter covered by these terms, these terms apply.
Unless the engagement document says otherwise, the company may use subcontractors to carry out part of the work, provided that the subcontractors are bound by confidentiality and security obligations no less protective than those in these terms.
6. Fees and Payment
Fees are set out in the engagement document. Unless the engagement document states another arrangement, fees are quoted in United States dollars and are exclusive of any tax that applies. Invoices are payable within thirty days of the invoice date, and the company may charge reasonable interest on amounts that are overdue.
Where an engagement is delivered in stages, the company may invoice at each stage. A stage fee becomes payable when the stage deliverable is presented, regardless of whether a later stage has begun. Expenses incurred with the client written approval, such as travel to a remote site, are invoiced at cost with supporting receipts.
If a client cancels an engagement after work has begun, the client remains responsible for the fees and expenses already incurred up to the date of cancellation, and for any non cancellable commitments the company has made on the client behalf with the client prior approval.
7. Client Responsibilities
The client agrees to provide timely access to the site, the people and the records needed for the work. The client agrees to nominate a contact who can make decisions during the engagement and who can confirm acceptance of each deliverable. Where site access requires induction, protective equipment or permits, the client is responsible for arranging them before the visit.
The client is responsible for the accuracy of the records and information it supplies. Our designs depend on the material we are given, and a routine built on inaccurate source information will carry that inaccuracy forward. If the client discovers that a record supplied to us is wrong, the client should tell the desk promptly so that the design can be corrected before it goes live.
The client is responsible for compliance with the laws that apply to its own operations, including safety rules on the apron and rules about the personal information of its crew. The company will advise on record design, but the client remains the operator and the controller of its own data.
8. Records and Ownership
Records supplied by the client remain the property of the client. Records produced during an engagement, such as a completed log bay or a closed service sheet run, belong to the client once the engagement fee for that stage has been paid, unless the engagement document states otherwise.
The company keeps a copy of engagement records for the period described in its Privacy Policy, for the purposes of legal and accounting obligations and for its own quality review. The client may ask for a copy of its records in a commonly used format at any time during the retention period, and the company will supply it within a reasonable period.
The company may refer to the general nature of the work, without identifying the client, in its own description of its experience. The company will not publish the client name, logo or site details without the client written permission.
9. Confidentiality
Each side agrees to keep confidential the non public information it receives from the other during an engagement. Confidential information includes business records, crew details, site layouts, pricing and any material marked as confidential. Each side will use the information only for the purposes of the engagement and will protect it with at least the same care it uses for its own confidential information.
Confidentiality does not apply to information that is already public, that the receiving side already knew before the engagement, that is received from a third party without a duty of confidence, or that the receiving side is required to disclose by law or by a court order. If a disclosure is required by law, the receiving side will give the other side as much notice as the law allows so that protective steps can be taken.
These confidentiality duties survive the end of an engagement for a period of five years, and they survive indefinitely for trade secrets.
10. Intellectual Property
The company owns the designs, templates, written guides and software that it creates for its own use or that it reuses across clients. These materials may include a general method for designing log bays, standard review checklists and the layout of the service sheet run. The client receives a licence to use those materials within its own site for the routine delivered, and the licence continues for as long as the client uses the routine.
Deliverables that are created specifically for the client, such as a bespoke desk layout drawn for a particular apron, are assigned to the client once the stage fee is paid, unless the engagement document states otherwise. The company retains the right to refuse an assignment if a third party intellectual property right could be affected, and in that case the company will grant a licence instead.
The client may not resell, sublicense or distribute company materials outside its own organisation without written permission. Any feedback, suggestion or improvement the client provides about the materials may be used by the company freely, provided that the company does not disclose client confidential information in doing so.
11. Prohibited Conduct
You may not use the website or the services to break the law, to infringe the rights of others, to distribute malware, to attempt a denial of service, to impersonate another person or to misrepresent your authority to act for a client. You may not reverse engineer any software supplied by the company except as permitted by law, and you may not remove a notice of ownership from any deliverable.
You may not use the contact form to send confidential information before an engagement is in place. The form opens your own email client, and the message travels through ordinary email that may not be encrypted. For sensitive material, arrange a secure channel with the desk first.
If we believe that conduct on the website or in an engagement breaches this section, we may refuse service, suspend access or end the engagement in accordance with the termination section below.
12. Third Party Materials
An engagement may involve tools, software or materials supplied by a third party, such as a hosting provider, an email service or a printing supplier. The company does not control those third parties and cannot guarantee their availability or their performance. Where a third party failure affects the work, the company will use reasonable efforts to restore the service or to find a workable alternative, but the company is not liable for the third party failure itself.
The website may link to third party sites. Those links are provided for convenience and do not represent an endorsement. The company is not responsible for the content, availability or privacy practices of a site it does not control.
13. Disclaimer of Warranties
Except as expressly stated in an engagement document, the website and the services are provided as they are and as they are available. The company disclaims all implied warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose and non infringement.
The company does not warrant that the website will be uninterrupted or error free, that a design will produce a particular operational outcome, or that a routine will prevent every incident on an apron. The company does warrant that it will perform its work with reasonable skill and care and in accordance with the engagement document.
Some jurisdictions do not allow the exclusion of certain warranties. Where such a rule applies, the exclusion is limited to the smallest extent the rule permits, and nothing in this section limits a right that the law gives you and that cannot be waived.
14. Limitation of Liability
To the fullest extent permitted by law, the company is not liable for indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, lost records or loss of business opportunity, even if the company was advised that such a loss was possible.
Except for liability that cannot be limited by law, the total liability of the company for all claims arising from an engagement is limited to the total fees paid by the client for that engagement in the twelve months before the event that gave rise to the claim. Where the claim relates to the website alone and no engagement exists, the total liability is limited to one hundred United States dollars.
Nothing in these terms limits liability for fraud, for wilful misconduct or for any other liability that the law does not permit to be limited. The limits in this section are a reasonable allocation of risk between the parties and form part of the basis on which the fees were set.
15. Indemnity
You agree to indemnify and hold harmless Integrity GSE LLC, its officers and its staff from any claim, loss or expense arising from your breach of these terms, from your misuse of the website or the services, or from a record or instruction you supplied that infringed the rights of another party. This obligation does not apply to the extent that the claim arises from the company own negligence or breach.
The company agrees to indemnify and hold harmless the client from any claim that a deliverable created specifically for the client infringes a third party intellectual property right, provided that the client has used the deliverable as intended and has told the company promptly about the claim. The company may choose to replace or modify the deliverable, or to procure a licence, to resolve the claim.
16. Suspension and Termination
Either side may end an engagement for convenience by giving thirty days notice in writing. Where the client ends an engagement for convenience, the fees and expenses already incurred remain payable. Where the company ends an engagement for convenience, the company will refund any fee paid for work not yet performed.
Either side may end an engagement immediately if the other side commits a material breach and does not remedy it within fifteen days of a written notice that describes the breach. The company may suspend access to the website or pause work if a fee remains unpaid after the due date and after a reminder has been sent, or if continuing the work would create a risk to safety or to the integrity of a client record.
On termination the company will return or delete client records according to the instructions of the client, subject to any legal retention obligation. The sections on confidentiality, intellectual property, limitation of liability and governing law survive termination.
17. Governing Law and Disputes
These terms are governed by the laws of the State of Utah and of the United States, without regard to conflict of law rules. The parties will first attempt to resolve any dispute by good faith discussion at the desk level, and then by a meeting between senior representatives of each side, before any formal proceedings are started.
If a dispute cannot be resolved by discussion, the parties agree to submit it to the courts of the State of Utah, and each side consents to the jurisdiction of those courts. Nothing in this section prevents either side from seeking urgent relief from a court to protect its confidential information or its intellectual property.
If any provision of these terms is found to be invalid or unenforceable, the rest of the terms remain in force, and the invalid provision is replaced by a valid provision that most closely matches the original intention.
18. Changes to These Terms
The company may update these terms from time to time. The current version is always published on this page with an effective date at the top. Where a change is material, the company will notify clients with an active engagement by email at least fourteen days before the change takes effect, so that there is an opportunity to raise a concern.
A change does not apply retroactively to work already delivered, and it does not alter the terms of a signed engagement document unless both sides agree in writing. Continuing to use the website after a change takes effect constitutes acceptance of the updated terms for future use.
